1. Definitions

1.1 Service means the FXPRESS Standard Portal, including its software, dashboards, calculators, reports, alerts, documentation, and related services.

1.2 Portal means the online web platform operated by IBRLive.

1.3 User, Subscriber, or you means any individual or legal entity using the Service.

1.4 Subscription means the paid access plan selected by the User.

1.5 Content means all exchange rates, forward premiums, market information, reports, charts, calculations, historical data, alerts, analytics, and related information available through the Portal.

1.6 User Data means forward contract records, notes, uploaded files, customer references, and any information entered by the User.

2. Nature of the Service

2.1 FXPRESS Standard is a financial information and treasury management platform intended solely to assist Users with monitoring indicative foreign exchange market information.

2.2 The Service is not a trading platform, brokerage, money exchange service, payment platform, investment adviser, portfolio manager, bank, or financial institution.

2.3 Users cannot purchase, sell, book, execute, settle, or modify any foreign exchange transaction or forward contract through the Portal.

2.4 All exchange rates, forward premiums, calculations, forecasts, reports, alerts, and analytical tools are indicative only and do not constitute executable quotations, contractual rates, financial advice, investment advice, treasury advice, accounting advice, legal advice, or tax advice.

2.5 Users must independently verify all exchange rates, forward premiums, and calculations with their own bank or financial institution before executing any transaction.

2.6 IBRLive shall not be responsible for any financial loss, trading loss, treasury loss, accounting error, payment loss, tax consequence, contractual dispute, or business decision arising from reliance upon the Service.

3. Eligibility & Accounts

3.1 Users must be at least eighteen (18) years of age and legally capable of entering binding agreements.

3.2 The Service is intended primarily for businesses, exporters, importers, treasury departments, financial professionals, and commercial organizations.

3.3 Users shall provide accurate and complete registration information and keep it updated.

3.4 Users are solely responsible for maintaining the confidentiality of their login credentials.

3.5 Each Subscription is licensed for a single User unless expressly agreed otherwise in writing.

3.6 Sharing login credentials, simultaneous multi-user access, sublicensing, or resale of subscriptions is prohibited.

4. Subscription, Billing & Payment

4.1 Subscription plans, billing periods, and fees are published on the IBRLive website.

4.2 Subscription access begins only after successful payment.

4.3 Subscription fees are non-refundable except as expressly provided under the Refund & Cancellation Policy.

4.4 Prices may be revised from time to time. Revised prices apply only to new subscriptions and future renewals.

4.5 Unless expressly stated otherwise, all prices exclude applicable GST and other taxes.

4.6 Failure to make timely payment may result in immediate suspension or termination of the Subscription.

4.7 Where automatic renewal is offered and enabled, subscriptions shall renew automatically unless cancelled before renewal.

5. Reference Data, Calculations & Availability

5.1 Exchange rates, forward premiums, and market information may be obtained from banks, financial institutions, liquidity providers, exchanges, central banks, market data vendors, and other third-party sources.

5.2 IBRLive does not guarantee that any displayed rate or premium will be available, executable, or match the quotation provided by any bank or financial institution.

5.3 Forward calculators, premium calculators, cost estimators, forecasts, alerts, and analytical tools are provided solely for convenience and informational purposes.

5.4 Results generated by the Portal may differ from actual market rates, bank quotations, settlement values, fees, taxes, or contractual outcomes.

5.5 Users remain solely responsible for independently verifying all calculations before making financial decisions.

5.6 Although reasonable efforts are made to maintain the accuracy of the Service, IBRLive does not guarantee the accuracy, completeness, reliability, availability, or timeliness of any Content.

6. Acceptable Use

Users shall not:

• share login credentials;
• resell or redistribute Portal Content;
• scrape, copy, download, or extract substantial portions of the Content through automated means;
• create competing databases or competing treasury platforms using Portal Content;
• reverse engineer or attempt to interfere with the Service;
• use bots or automated scripts beyond permitted functionality;
• use the Service for fraud, money laundering, sanctions evasion, or unlawful purposes;
• use the Content for training artificial intelligence or machine learning models without prior written consent from IBRLive.

7. Security & Abuse Prevention

7.1 IBRLive may suspend access immediately if it detects excessive usage, credential sharing, suspicious activity, scraping, unauthorized automation, or any activity that threatens the security or stability of the Portal.

7.2 We reserve the right to implement security controls, access restrictions, IP blocking, multi-factor authentication, or other protective measures at any time.

8. Intellectual Property

8.1 The Portal, software, source code, design, databases, trademarks, documentation, reports, charts, and Content remain the exclusive property of IBRLive or its licensors.

8.2 Users retain ownership of their User Data.

8.3 Users grant IBRLive a limited licence to process User Data solely for providing, maintaining, securing, backing up, and improving the Service.

8.4 Nothing in these Terms transfers ownership of IBRLive intellectual property to the User.

9. Privacy

Personal information and User Data shall be processed in accordance with the IBRLive Privacy Policy.

10. Service Availability

10.1 The Service is provided on a commercially reasonable efforts basis.

10.2 IBRLive does not guarantee uninterrupted availability or error-free operation.

10.3 Maintenance, upgrades, emergency fixes, or third-party failures may temporarily interrupt the Service.

10.4 IBRLive may modify, replace, enhance, or discontinue features at any time.

11. No Warranty

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, IBRLive disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted availability, non-infringement, and accuracy.

12. Limitation of Liability

12.1 To the fullest extent permitted by law, IBRLive shall not be liable for any direct, indirect, incidental, consequential, exemplary, punitive, or special damages.

12.2 This includes trading losses, treasury losses, lost profits, business interruption, loss of data, accounting errors, tax consequences, payment losses, contractual disputes, goodwill loss, or losses arising from reliance upon the Service.

12.3 IBRLive's total aggregate liability shall not exceed the subscription fees paid by the User during the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

Users agree to indemnify, defend, and hold harmless IBRLive, its directors, officers, employees, affiliates, licensors, and service providers from any claims, liabilities, damages, losses, costs, or legal expenses arising from:

• misuse of the Service;
• breach of these Terms;
• User Data;
• unlawful activities;
• infringement of third-party rights; or
• operation of the User's business.

14. Compliance with Laws

Users shall comply with all applicable laws, including anti-money laundering laws, sanctions laws, export control laws, tax laws, privacy laws, and financial regulations.

15. Force Majeure

IBRLive shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, cyber-attacks, internet failures, government actions, labour disputes, power failures, cloud provider outages, telecommunications failures, or interruptions affecting third-party data providers.

16. Suspension & Termination

IBRLive may suspend or terminate the Service immediately for non-payment, breach of these Terms, unlawful activity, abuse of the Portal, credential sharing, security concerns, or any activity threatening the integrity of the Service.

Users should export any required User Data before termination. Following termination, IBRLive may permanently delete User Data in accordance with its data retention policies.

17. Assignment

IBRLive may assign or transfer these Terms in connection with any merger, acquisition, restructuring, or sale of business assets.

Users may not assign their rights without prior written consent.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Survival

Sections relating to Intellectual Property, Privacy, No Warranty, Limitation of Liability, Indemnification, Governing Law, and any provisions intended by their nature to survive shall remain effective following termination.

20. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Kurukshetra, Haryana, India.

21. Changes to These Terms

IBRLive may revise these Terms from time to time.

Revised Terms become effective upon publication on the IBRLive website unless otherwise stated.

Continued use of the Service constitutes acceptance of the revised Terms.

22. Entire Agreement

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, and any applicable Service Level Agreement, constitute the entire agreement between IBRLive and the User regarding the Service.

23. Notices

IBRLive may provide notices by email, through the Portal dashboard, or by publishing notices on its website.

Users are responsible for maintaining a valid and active email address associated with their account.

1. Scope of these terms

1.1 IBRLive India Private Limited operates currency exchange services as an authorized money changer, subject to the Foreign Exchange Management Act, 1999 (FEMA) and the directions of the Reserve Bank of India (RBI).

1.2 These terms govern the buying and selling of foreign currency through IBRLive's currency exchange service, whether enquired online or completed at our branch. Unlike FXPRESS Standard, the currency exchange service does involve actual currency transactions.

2. Definitions

2.1 Currency Exchange Service refers to the buying and selling of foreign currency offered by IBRLive as an authorized money changer.

2.2 Transaction refers to the act of buying or selling currency through our currency exchange service.

2.3 Customer refers to any individual or entity who requests or completes a currency exchange Transaction with IBRLive.

3. Eligibility & KYC

3.1 To use the Currency Exchange Service, you must be at least eighteen (18) years old and legally capable of entering into binding agreements.

3.2 You agree to provide accurate and complete information and to complete any Know Your Customer (KYC) and documentation requirements (including valid government-issued identity, PAN, travel documents, or purpose declarations) required under FEMA, RBI directions, and applicable law before a Transaction can be processed.

3.3 IBRLive may decline to process any Transaction where the required documentation or verification is not provided.

4. Exchange Rates

4.1 The exchange rates displayed on our website or otherwise quoted are indicative and may change without notice. The final rate for a Transaction will be determined and confirmed at the time of the Transaction.

4.2 We do not guarantee the availability of any particular exchange rate, currency, or denomination at any given time.

4.3 Where a rate is locked through a valid offer or booking on our website, it shall apply subject to the conditions of that offer.

5. Transactions & Orders

5.1 All Transactions are subject to acceptance by IBRLive. We reserve the right to refuse or cancel any Transaction at our discretion, including where required by law or RBI directions.

5.2 Once a Transaction has been confirmed, it cannot be modified or cancelled by the Customer. Any requests for changes or cancellations will be handled in accordance with our Refund and Cancellation Policy.

5.3 We may require additional verification, documentation, or information before accepting or completing any Transaction.

6. Fees & Charges

6.1 Applicable fees, charges, and taxes (including GST) for currency exchange Transactions will be disclosed at or before the time of the Transaction. By proceeding with a Transaction, you agree to pay all applicable fees and charges.

6.2 We reserve the right to change our fees at any time. Fee changes are effective immediately upon being posted or applied.

7. Compliance & Anti-Money Laundering

7.1 You agree to comply with all applicable laws and regulations, including FEMA, RBI directions, anti-money laundering (AML) laws, and sanctions laws, in relation to any Transaction.

7.2 You agree not to use the Currency Exchange Service for any illegal or unauthorized purpose, including money laundering, terrorist financing, fraud, or sanctions evasion. IBRLive may report suspicious transactions to the relevant authorities as required by law.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, IBRLive will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Currency Exchange Service, except to the extent caused by our proven gross negligence or wilful misconduct.

8.2 We do not guarantee the accuracy, completeness, or timeliness of indicative rate information published on our website.

9. Refunds & Cancellation

Refunds and cancellations relating to currency exchange Transactions are governed by our Refund and Cancellation Policy. Completed Transactions are final except where there is a verifiable error on the part of IBRLive.

10. Governing Law & Jurisdiction

These terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Kurukshetra, Haryana, India.
